These Terms & Conditions ("Terms") govern your access to and use of the Wavoiq AI-powered customer engagement platform, including the website https://wavoiq.com, dashboards, APIs, and related services (collectively, the "Service"). The Service is owned and operated by Wiseway Technologies Pvt. Ltd., a company incorporated in India ("Wiseway Technologies", "we", "us", or "our"). "Wavoiq" is a product of Wiseway Technologies Pvt. Ltd. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms
By registering for, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms. You must be at least 18 years old to use the Service.
2. Account Registration
- You must provide accurate, current, and complete information when creating an account and keep it up to date.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
- You must notify us promptly of any unauthorized use of your account or any security breach.
- One person or entity may not maintain multiple accounts to abuse trials, credits, or promotions.
3. Subscription & Billing
The Service is offered on a subscription and/or usage basis. By subscribing, you agree to pay the fees for your selected plan. Subscriptions renew automatically for successive periods unless cancelled before the renewal date. We may change plan pricing or features with reasonable prior notice; changes apply from your next billing cycle. All fees are exclusive of applicable taxes unless stated otherwise.
4. Credit-Based Usage System
Certain features — such as sending campaigns, messages, or automations — consume credits from your account balance.
- Credits are deducted as you use billable actions; your balance is visible in your dashboard.
- Credits have no cash value, are non-transferable, and are not redeemable for cash except where required by law.
- We are not responsible for credits consumed due to your configuration, third-party outages, or messages rejected by connected platforms after a valid send attempt.
- You are responsible for maintaining a sufficient credit balance for your intended usage.
5. Free Trial / First-Time Credits
We may offer a free trial or complimentary first-time credits to new users so you can evaluate the Service. Trial credits are provided "as is", may be limited in scope or duration, and may be modified or withdrawn at any time. Free trials and introductory credits are intended for genuine evaluation and may not be abused through multiple or fraudulent registrations.
6. Payments & Refund Policy
- Payments are processed through third-party payment providers. By making a payment, you agree to the applicable provider's terms.
- Except where required by law, fees and purchased credits are non-refundable, including for unused credits, partial billing periods, or accounts suspended for violating these Terms.
- If you believe you were charged in error, contact us at [email protected] and we will review your request in good faith.
- We reserve the right to correct pricing errors and to decline or reverse fraudulent transactions.
7. Acceptable Use Policy
You agree not to use the Service to:
- Send spam, unsolicited bulk messages, or any communication that violates the policies of WhatsApp, Meta, Telegram, or other connected platforms.
- Distribute unlawful, fraudulent, deceptive, harassing, hateful, or infringing content.
- Transmit malware, attempt to gain unauthorized access, or interfere with the integrity or performance of the Service.
- Contact recipients who have not opted in or who have withdrawn consent, or otherwise violate applicable messaging, marketing, and data-protection laws (including GDPR, TCPA, and local anti-spam regulations).
- Reverse engineer, resell, or misuse the Service or its APIs beyond the scope permitted by these Terms.
Violations may result in immediate suspension or termination and may be reported to the relevant platforms or authorities.
8. AI Usage & Automation
The Service includes AI-powered features such as automated replies, lead qualification, and engagement automation. You acknowledge that:
- AI output is generated automatically and may be inaccurate, incomplete, or unsuitable for a given context; it is provided on a best-effort basis without warranty.
- You are solely responsible for reviewing, configuring, and supervising automated communications sent under your account, and for their compliance with applicable laws and platform policies.
- You should not rely on AI features for legal, financial, medical, or other professional advice.
9. WhatsApp Business & Meta API Usage
Wavoiq connects to the WhatsApp Business Platform (Meta Cloud API) as a technology provider on your behalf.
- Wavoiq accesses your WhatsApp Business account only after your explicit authorization through Meta's official sign-in / Embedded Signup flow.
- Your use of WhatsApp and Meta services is additionally governed by Meta's Platform Terms, the WhatsApp Business Terms, and Meta's policies, which you agree to comply with.
- You are responsible for the accuracy of your business information, message template content, and obtaining valid opt-in consent from recipients.
- Meta may impose quality ratings, messaging limits, or restrictions on your number; Wavoiq is not liable for actions taken by Meta against your account.
10. Telegram Integration
When you connect a Telegram bot, you authorize Wavoiq to send and receive messages via the official Telegram Bot API using your bot token. Your use of Telegram is subject to Telegram's Terms of Service and Bot policies. You are responsible for how your bot and communities are operated through the Service.
11. User Responsibilities
- Ensure you have the legal right and valid consent to message the contacts you import and communicate with.
- Comply with all applicable laws, platform policies, and these Terms.
- Maintain the security of your account, connected channels, and credentials.
- Use the Service only for legitimate business communication.
12. Service Availability
We strive to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or factors beyond our control, including outages of third-party platforms such as Meta or Telegram. We are not liable for delays or failures caused by such third parties.
13. Intellectual Property
The Service, including its software, design, branding, "Wavoiq" name and logo, and all related intellectual property, is owned by Wavoiq and protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You may not copy, modify, distribute, or create derivative works from the Service without our prior written consent.
14. Third-Party Services
The Service integrates with and depends on third-party services (including Meta, WhatsApp, Telegram, hosting, AI, analytics, and payment providers). Your use of those services is subject to their respective terms and policies. We are not responsible for the availability, content, or practices of third-party services.
15. Data Ownership
You retain ownership of the data, contacts, and content you provide or generate through the Service ("Your Data"). You grant Wavoiq a limited license to process Your Data solely to provide, secure, and improve the Service, as described in our Privacy Policy. We do not sell Your Data. You are responsible for ensuring you have the rights and consents necessary for us to process Your Data on your behalf.
16. Suspension & Termination
We may suspend or terminate your access to the Service, with or without notice, if you violate these Terms, fail to pay applicable fees, engage in abusive or unlawful activity, or create risk or legal exposure for us or connected platforms. You may terminate your account at any time from your dashboard or by contacting us. Upon termination, your right to use the Service ends, and we may delete or de-identify your data as described in our Privacy Policy, subject to legal retention requirements.
17. Limitation of Liability
To the maximum extent permitted by law, Wavoiq and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total aggregate liability for any claim arising out of or relating to the Service shall not exceed the total amount you paid to Wavoiq in the three (3) months preceding the event giving rise to the claim. The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
18. Indemnification
You agree to indemnify, defend, and hold harmless Wavoiq, its affiliates, and their respective officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, Your Data, your messaging activity, or your violation of these Terms, applicable laws, or third-party rights.
19. Governing Law
These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict-of-laws principles. Subject to any mandatory rights you may have under the laws of your country of residence, you agree that the courts located in India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
20. Changes to Terms
We may update these Terms from time to time. When we make material changes, we will revise the "Last Updated" date above and, where appropriate, provide notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service.
